This End-User License Agreement (“Agreement”) is between Spaulding Labs LLC (“Spaulding Labs LLC”, “we”, “us”) and the business or person that creates an account for MetalTrack Time (“you”, “Customer”). By creating an account, connecting MetalTrack Time to QuickBooks Online, or using MetalTrack Time, you agree to this Agreement.
1. What MetalTrack Time does
MetalTrack Time is a time-clock service. It records employee clock-in and clock-out events entered at your location, converts them into daily hour totals, and writes those totals to your QuickBooks Online company as time activities. It reads your employee list from QuickBooks Online so you can map the people who use the time clock.
2. Licence
We grant you a non-exclusive, non-transferable, revocable right to access and use MetalTrack Time for your own internal business purposes during your subscription term. You may not resell, sublicense, reverse-engineer, or attempt to gain unauthorised access to the service or its infrastructure.
3. Your responsibilities
- You are responsible for the accuracy of the time data your employees enter and for reviewing hours before relying on them for payroll.
- You are responsible for keeping your account credentials and two-factor device secure, and for the actions of every user and time-clock device you enrol.
- You must have the right to provide us with the employee information you enter or that we read from your QuickBooks Online company.
- You are responsible for compliance with wage-and-hour, recordkeeping, and privacy laws that apply to your business.
4. Recordkeeping — important
MetalTrack Time retains raw clock events only for a short period (about one week) to keep the service small and fast. After your hours are written to QuickBooks Online, QuickBooks Online is the system of record and you are the recordkeeper. Applicable law may require you to retain time records for years. Do not rely on MetalTrack Time as your long-term time-record archive.
5. Fees
Subscription fees are billed through our payment processor on the plan shown at signup (a base monthly fee plus a per-employee monthly fee). Fees are charged in advance and are non-refundable except where required by law. If payment fails, we may suspend the service after a grace period; suspended accounts cannot record new punches and become read-only, but hours already collected continue to sync to QuickBooks Online during the grace period.
6. Availability; no warranty
MetalTrack Time is provided “as is” and “as available”. We do not warrant that it will be uninterrupted or error-free, or that every clock event will reach QuickBooks Online without delay. To the maximum extent permitted by law, Spaulding Labs LLC disclaims all implied warranties.
7. Limitation of liability
To the maximum extent permitted by law, Spaulding Labs LLC will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or payroll errors. Our total liability for any claim arising out of this Agreement is limited to the amount you paid us for MetalTrack Time in the twelve months before the claim.
8. Termination
You may cancel at any time from your billing settings. We may suspend or terminate the service for non-payment or material breach. On termination we disconnect from your QuickBooks Online company and delete your account data after a short wind-down period; a data export is available on request before deletion.
9. Changes
We may update this Agreement. Material changes will be posted here with a new “last updated” date and, where practical, notified by email. Continued use after a change means you accept it.
10. Governing law
This Agreement is governed by the laws of Missouri, USA, without regard to conflict-of-law rules.
